LLC must maintain an operating agreement. An operating agreement is commonly considered a roadmap for your business. It will give the members, or owners, direction detailing how to handle specific situations for the business.
Articles of Organization must be filed with your Secretary of States Corporation Bureau. Most Secretary of States web sites provide detailed instructions on how to file, where to file, how much to pay, and the annual requirements if any. For example, the State of California requires all LLCs to file an annual Statement of Information detailing the members of the entity. This form is also required for corporations.

Seems pretty easy doesn't it? Well setting up the LLC generally is easy, especially if you are planning to operate a single or two members LLC. The more complex your business plan, the more complex both the operating agreement and articles will become. If you are planning on setting up a business as an LLC with members whom you do not know, you should consider consulting with an attorney to protect your rights. There are many examples of businesses that don't succeed, and examples of businesses that have management issues and differing opinions between members. Protect your interest by investing the additional time and money and ensure that you have protected your assets. An attorney will be able to guide you and alert you to any pitfalls that may occur. There are many service companies available and this may be a good route for you if you are planning on setting up a single member or multi member LLC. Mistake #1 Doing Business Before the LLC is Formed.

Mistake #2 Failing to Actually Issue Ownership Interests in the LLC.

Many business owners create an LLC but never actually issue ownership interests (known as Membership Units) to the persons that are going to be owners of the LLC (known as Members). It can be easy for you mistakenly think that because you created the LLC, you are automatically the owner of the LLC. The fundamental premise of an LLC is that it is its own separate entity. When an LLC is formed by a state agency, it does not have owners. Membership Units or a percentage interest in the LLC must be issued to the persons who will be the owners. This issuance transaction should be in writing. The LLC Operating Agreement is the typical place where the LLC issues shares to Members. Make sure that after your LLC is formed, you complete this next step.

Mistake #3 Failing to Create a Management Structure.

An LLC needs to have a management structure. A management structure determines who has the authority to make decisions on behalf of the LLC. There are two management structures. A member-managed LLC is when the members automatically have the rights to operate and manage the LLC business. The second is a manager-managed LLC which creates a corporate type structure. A Board of Managers is created and persons who are appointed to that Board have the authority to run the business. The best place to create a management structure is in the LLC's Operating Agreement. All LLC's should have an Operating Agreement as this agreement creates the set of rules for your LLC.

Mistake #4 Failure to Get Investment Obligations in Writing.

The LLC Acts of most states require that all agreements by a Member of an LLC to contribute money to the LLC must be in writing. An oral agreement is not enforceable under the law. If you are planning on starting a new business with other persons, you will likely get together and decide on how much of the business each of you will own and on what obligations each of you are agreeing to with respect to that business. Obligations usually include how much money you are each going to contribute to the business or what kind of services and time commitment each of you will devote to the business.

These conversations take place but in many multi-member LLCs, they are never placed in writing. Without a writing, any oral promises are not enforceable. If you issue Membership Units based on an oral promise and the Member fails to deliver, you cannot take back the Units.

Mistake #5 Thinking that an LLC is a Foolproof Layer of Liability Protection

Yes, it is established that a Member of a properly formed and maintained LLC is not liable for the debts, obligations and lawsuits of the LLC merely by being a Member of the LLC. But, in a realistic business context, persons who are Members are usually not passive owners of the LLC. They are also active managers and operators of the LLC business.

In today's litigious world, all businesses should be run through a limited liability entity such as an LLC. The LLC liability protection is a significant protection vehicle. However, the LLC layer of protection does not extend to all potential liabilities that can arise in the midst of running an LLC. Do your homework in performing the administrative and other tasks of your LLC and retain the proper professionals to advise you when appropriate. There are certain standards and formalities you need to meet or else you run the risk of being personally liable (this risk is known as piercing the veil risk).

The LLC laws do not cover personal negligence. Your LLC should always have insurance to cover these types of business related accidents. Do not ever think that the LLC is enough to protect you in these circumstances. Similarly, there are some laws that hold you liable regardless of whether you are operating through an LLC. The most obvious one that might apply is if you are a licensed professional. Doctors, lawyers, accountants, real estate brokers and dentists, for example, are always personally liable for acts of malpractice. If you are a licensed professional, make sure you get the proper insurance. Also, there are certain tax, environmental and securities laws that you can be held personally liable for if your LLC is in violation of those laws and you were the responsible manager.

Finally, you cannot use your LLC to engage in fraud or hide behind the LLC to protect yourself when you engage in fraudulent or unlawful acts. If you break the law or try to defraud others, the law will hold you personally accountable.

In summary, the LLC is a wonderful vehicle for providing Members with limited liability protection. But, in order to preserve that protection, you cannot just form an LLC and then forget it exists. Make sure you do the necessary things to honor your LLC as a separate entity and also know that the LLC should not be your sole means of protection- get insurance when it makes sense and always invest in the required knowledge for operating your business which includes getting the right help when needed in your business!

However, right when I caught a glimpse of the cinematography, I knew I made the wrong choice. It was boring. It was draggy. The cinematography was something that a student could have done. There was too much dead air. The story is too predictable (like I’ve seen this slasher type of movie a million times)and it was too shallow. Even the peaks were futile efforts in trying to tickle the audience’s “scare nerves”. The ending was worse than the rest of the movie. The alignment is an absolutely crucial and vital part to any golfer’s game. You swing round your body, therefore if your body is offline, your swing in turn will be off line and out of sync, resulting in a poor swing and a poor shot, usually ending up deep in the rough.

When setting up to the ball, firstly ensure the clubface is square to the ‘ball to pin line’ (the line between the ball and the pin), and ensure that your shoulders, hips and feet are all parallel to the ‘ball to pin line’, if these 3 are not aligned and one is out, a good body turn is ruined with a poor swing resulting.

When training, on the driving range or wherever you can practise, a useful technique for lining up is to place a club on the floor and check that you’re your feet, hips and shoulders line up with each other, the shoulder alignment is particularly crucial because your body turn starts with your shoulders.

Ideally, you should be lining your body up slightly to the left of the target (slightly to the right for left hand players), as opposed to trying to line your body up with the target itself.

On the course a simple test to see if this is the case, is to look at the target, if you can see your left shoulder, then you are lined up to too far to the right (visa versa for lefthanders), your shoulder should be just out of sight.

Poor Alignment can have several affects, these are all negative. Aligning too far to the left most commonly leads to the slicing of the ball, this occurs because you are not parallel to the line running from ball to pin. As a result the backswing is limited so an ‘out to in’ swing results. As a consequence the club face is slightly open on impact which generates side spin on the ball. This leads to the common problem which is the slice which I will explain in another article.

If you align too far to the right, the opposite will take place and a hook will occur due to the ‘in to out’ swing of the club, although quite common with beginners and inexperienced players.

Often they will subconsciously become aware of this and try to adjust mid-swing, over adjusting by opening up the clubface as impact approaches. This again results in the slicing of the ball, which is very difficult to control and usually leads to ‘the rough’.

Alignment is an often overlooked and crucial part to any golfer’s game and therefore must be addressed for you to succeed at any level of golf. For as long as you’re alignment is out, you will never be able to consistently hit straight accurate shots and will increasingly find yourself hooking or slicing into the rough, turning those pars into bogies and taking your round from a 75 to 85.

Debt settlement, also known as debt negotiation or debt reduction, is a relatively new way for dealing with your debt problems. In a debt settlement program, by negotiating with a creditor, a client can reduce their debt by as much as 50 percent and be debt free in as little as 12 months. In order to accomplish these savings, however, a client must voluntarily stop paying their creditors. By doing this, a creditor is forced to confront the following question: How can I collect the most money from this past due debtor with the least amount of effort and the least total expense to my company? Typically the answer to this question in the minds’ of creditors is accepting a lump sum settlement for less than the full balance owed.

A creditor is always reserved the right to pursue legal action to collect a past due debt, even if the debtor is elderly or disabled.
